Fulfillment Policy for DKMD Consulting

Welcome to DKMD Consulting! We are committed to providing our clients with exceptional medical writing and consulting services. This Fulfillment Policy outlines how we manage and process our services upon order acceptance.

Order Process

1. Consultation & Proposal: Each project begins with a discovery call to understand your specific needs and goals. Following this call, we will provide you with a customized package and proposal based on your project’s requirements and budget.
2. Contract: Upon acceptance of the proposal, we will execute a contract which outlines the scope of work, timelines, payment terms, and other mutual agreements related to the project.
3. Payment: All payments are processed securely and accepted in USD (United States Dollar) currency only. Other forms of international currency cannot be accepted. All major credit cards (VISA, Mastercard, Amex) and ACH transfers are accepted. When processing credit card payments, we are PCI compliant. Payment details and timelines will be specified in the contract. DKMD Consulting starts working on the project upon receipt of the initial payment as specified in the contract.

Service Fulfillment

Project Execution

After the contract is signed and initial payment is processed, our team commences work on your project. The timeline for completion varies depending on the complexity and volume of work. Generally, we request a minimum of 2 weeks for projects, depending on the size and research required.

Review and Revisions

Upon completion of the first draft, the document is shared with you for review. Our pricing includes an unlimited number of revisions (typically we only require 2), to ensure the final output meets your satisfaction. Each revision process is clearly outlined in our contract, including the expected turnaround times for changes. This can range from 24-48 hours, to several weeks depending on the complexity of the project (i.e. respectively, a blog post vs a 20 page white paper).

Turnaround Time

The turnaround time for a typical writing project is specified in our contract, based on the project specifics. While we aim for efficiency, quality remains our priority. Depending on the complexity of the project, we deliver writing projects within a few days to several weeks. Due dates are agreed upon during the discovery call, and are flexible within reason.

Confidentiality and Privacy

We adhere to strict data protection policies to ensure confidentiality and privacy of your data. Secure platforms are used for data exchange, and confidentiality is never compromised.

Compliance and Accuracy

Our medical writers are knowledgeable in ethical guidelines and legal requirements in medical writing, ensuring compliance and accuracy in every piece of content we generate.

Customization

We customize the writing style to match your brand’s voice, offering a consistent brand experience. Writing styles are tailored based on the intended audience, ensuring clear and impactful communication.

Compensation; Reimbursement of Expenses

1. As consideration for the Services, Client shall pay DKMD fees as more particularly described in the contract, plus an onboarding fee in the amount of Five Hundred and No/100 Dollars ($500.00) on the Effective Date. Client shall not, and acknowledges that it will have no right, under this Agreement, any purchase order, any other agreement, document or law to, withhold, offset, recoup or debit any amounts owed (or to become due and owing) to DKMD, whether under this Agreement or otherwise, against any other amount owed (or to become due and owing) to it by DKMD or its affiliates, whether relating to DKMD’s or its affiliates’ breach or non-performance of this Agreement, any purchase order, any other agreement between (i) Client or any of its affiliates and (ii) DKMD or any of its affiliates, or otherwise.
2. Client shall reimburse DKMD for any reasonable travel or other expense incurred as a result of the Services provided by DKMD under this Agreement approved in advance by Client, upon submittal of appropriate receipts evidencing such expenses.
3. Except for amounts that Client has successfully disputed, Client shall pay (i) a late fee in the amount of One Hundred and No/100 Dollars ($100.00) each thirty (30) days an invoice is outstanding, plus (ii) interest on all late payments payable to DKMD at the lesser of (A) the rate per annum which is four (4) whole percentage points higher than the Prime Rate published in the Money Rates section of the Wall Street Journal, or (B) the highest lawful rate per annum. Client shall also reimburse DKMD for all reasonable costs incurred by DKMD in collecting any late payments, including attorneys’ fees, collections, and court costs. In addition to all other remedies available under this Agreement or at law (which DKMD does not waive by the exercise of any rights under this Agreement), if Client fails to pay any undisputed amounts when due under this Agreement, DKMD may (i) suspend the performance of any Services, (ii) reject Client’s work orders or cancel accepted work orders, (iii) send Client’s unpaid invoices to a collections agency, or (iv) terminate this Agreement.

Termination

1. Termination for Event of Default. Either party may terminate this Agreement immediately in writing upon an Event of Default (as defined herein) by the other party and expiration of any applicable cure period as set forth herein.
2. Immediate Termination. DKMD may terminate this Agreement for “Cause” immediately and without notice, and without owing any reimbursement for any unused retainer paid by Client. “Cause” is defined as follows: (i) Client’s misappropriation or embezzlement of funds or material property of DKMD or any affiliate; (ii) Client’s fraud or dishonesty with respect to DKMD or any affiliate; (iii) Client’s conviction of, indictment for (or the procedural equivalent), or entering of a guilty plea or plea of no contest with respect to any felony or any misdemeanor involving moral turpitude; (iv) Client engaging in conduct that, if it became known by any regulatory or governmental agency or the public, would be or is reasonably likely to result, in the good faith judgment of DKMD, in injury to DKMD, monetarily, reputationally or otherwise.
3. Termination for Convenience. Either party may terminate this Agreement for any reason at any time upon written notice to the other party. Upon such termination for convenience, DKMD shall continue to provide Services through the remainder of the month in which written notice is given, and this Agreement shall terminate and be of no further force or effect at the end of such month; provided, however, Client shall be responsible for paying any earned but unpaid compensation and other expenses due to DKMD through the date of termination.
